Contract Analyst (Boca Raton, FL)

Handle the Company's contracts with external counsels. Coordinate and communicate with external counsel to finalize the contract as per the Company's specifications. Draft, negotiate, and finalize contracts including but not limited to purchase agreements, agency agreements, service agreements, and vendor agreements as per the Company's specification, which are all contracts executed between the Company and third parties, or between the Company's clients and third parties. Service Agreements: The contracts between the Company and its clients in relation to consultancy services, which may be in the form of consultancy for individuals including travel and accommodation processes in the US, consultancy for companies in relation to their business in the US, and consultancy for real estate matters of clients. Agency Agreements: The Company provides consultancy in relation to truck and equipment purchases or real estate purchases/services for its clients. The employee will draft Agency Agreements to transfer rights as Power of Attorney so the Company may assume responsibility to purchase, sell, or negotiate such agreements on behalf of its clients.

Vendor Agreements: The employee will be responsible to assess possible vendors' proposals for services such as insurance, accounting, and legal. The employee will gather proposals and draft the most optimal and costeffective agreements for such services acquired by the Company. This also includes agreements with various recruiting firms when providing consultancy to clients in finding employees for their business. Purchase Agreements: As part of the Company's role in providing individual, business, and real estate related consultancy, the Company may act as a broker to connect its clients with third parties such as sellers, contractors, and realtors. In such cases, the employee will draft the purchase agreements by analyzing the Company's position and determining the most optimal terms for the Company, the client, and the third party. Review contracts for completeness, accuracy, and compliance, make necessary corrections, and prepare reports to management and legal, if needed.

Present contracts to supervisor, legal and accounting for final review and approval. Execute contracts while ensuring the best position on behalf of the company. Analyze contracts to ensure that the terms and conditions do not impose an unnecessary or unexpected burden on the Company. If the employee believes such terms exist, he/she shall prepare a report for the supervisor, external counsel, and company's client.Follow related regulations and applicable law to be up to date on regulatory changes, confirm with external counsel and inform relevant supervisor. Store data on contract stages and follow through from initiation to closeout. Follow each stage of a contract and follow up on the matter with all parties (client and any third party) until the matter is closed. The Contract Analyst will draft, review and provide feedback on the specified contracts which are mostly within the scope of sale and purchasing materials and services.
